<p>The joint fulfillment solution will leverage the Cramer OSS Suite and Alcatel&#8217;s industry-leading equipment and integration expertise to automate the end-to-end fulfillment of services for Telekom Austria, including &#8220;triple play&#8221; bundles of voice, video and Internet services. Alcatel and Cramer will deliver complete process automation based on a single inventory core, which allows carriers to accelerate service introduction, to fulfill large volumes of customer orders more quickly and accurately, and to dramatically reduce the total cost of ownership for their operations support systems (OSS). <p>The acquisition propels Amdocs into leadership in the growing OSS space. Amdocs is now unique in its ability to support OSS transformation, and can help lower the risks and costs associated with these large-scale projects. The combined Amdocs-Cramer solution is also unique in its combination of OSS and business support systems (BSS), delivering complete visibility of the customer, the network and the service. This will help service providers transition from legacy to next generation networks and systems, and rapidly launch new converged services that quickly turn network investment into service revenue. <span id="more-783"></span></p>
<p>Cramer will form a new division within Amdocs, which will be known as Cramer, Amdocs OSS Division. It will leverage and enhance Amdocs&#8217; current assets in BSS and OSS and will focus on helping service providers manage the transformation of their OSS and profit from BSS/ OSS convergence.</p>
<p>Guy Dubois, formerly Cramer&#8217;s president and chief executive officer, will lead the new Division and has also been appointed to Amdocs management. Dubois has over 25 years of experience in helping large organizations derive value from IT. He joined Cramer in 2005 from PeopleSoft Corporation, where he was executive vice president since 2000, leading overall strategy, development and business execution for all company activities outside the U.S. and Canada. Prior to that, Dubois held senior positions with Vantive, Sybase and Digital Equipment Corporation.</p>

The impact on GAAP results is also expected to be dilutive, but it will not be known until after Amdocs completes the purchase price accounting for the acquisition. (&#8220;Cramer&#8221;), a leading provider of operations support systems (OSS) solutions. Under the terms of the agreement, Amdocs will acquire all of Cramer&#8217;s shares of capital stock for approximately $375 million in cash, net of cash on hand, subject to post-closing adjustments. Cramer is a growing company with more than 80 customers worldwide. </p>

<p>With the acquisition, Amdocs plans to expand its service management and OSS offerings and expects to become a leader in OSS, uniquely able to support large-scale OSS transformation projects. The OSS domain is typically defined as network-facing applications supporting key service fulfillment and service assurance business processes. Cramer has a proven and tested OSS product portfolio, which includes leading products in network resource management (NRM), activation and auto discovery. <span id="more-741"></span></p>
<p>As a result of the acquisition, Amdocs will be the only company to deliver an end-to-end solution spanning OSS and customer-facing business support systems (BSS), such as billing and customer relationship management (CRM). Service providers will be able to manage and optimize their entire services supply chain &#8212; from the demand side (customers) to the supply side (network), including the enabling business processes in between, such as introduction, fulfillment and assurance of services.</p>

Completion of the acquisition is subject to regulatory approvals and other closing conditions customary to such transactions and is expected to occur in the current fiscal quarter. The transaction is expected to be approximately $0.04 dilutive to non-GAAP earnings per share in fiscal 2007 and then accretive thereafter. The impact on GAAP results is also expected to be dilutive, but it will not be known until after Amdocs completes the purchase price accounting for the acquisition. The agreement extends existing cooperation between the two companies to create a single OSS platform to support the rapid launch of new, next generation services. <span id="more-443"></span></p>
<p>As part of the cooperation, the two companies plan to integrate the Cramer6 OSS Suite with the Amdocs ordering and service management solutions. Cramer&#8217;s solution has been deployed across TDC&#8217;s Nordic Net, the Pan-Scandinavian infrastructure network. In addition, TDC has expanded its relationship with Cramer to replace its existing legacy systems and automate inventory management and fulfillment associated with its access and transmission networks. TDC has engaged Cramer Global Services, Cramer&#8217;s consulting, education and training division, to lead the implementation and deployment of this large-scale project. <span id="more-433"></span></p>
<p>TDC is Denmark&#8217;s incumbent telecoms operator and the second-largest provider in Switzerland, offering a range of fixed line, mobile, Internet, cable TV and wholesale services. When fully deployed, Cramer&#8217;s solutions will support more than 3,000 TDC users responsible for management of a Pan-European network. </p>

<p>Cramer6 OSS Suite marks a major change in the way OSS solutions are delivered. Designed to address the requirements of carriers moving to next-generation network (NGN) and service environments, the new suite delivers complete process automation based on a single inventory core. 			<content:encoded><![CDATA[<p>At the launch of Cramer6 OSS Suite, OSS leader Cramer today announced that it has further strengthened its relationship with SAP AG. Cramer6 OSS Suite is planned to be migrated to the SAP NetWeaver(R) platform during 2006. <span id="more-429"></span></p>
<p>A Carrier-Class Joint Solution<br />
SAP and Cramer are working together to deliver a carrier-class joint solution to enable next generation transformation. The companies have developed detailed process models and use-case definitions&#8211;from planning through network build and from service capture to fulfillment. By linking supply chain management, network planning and service fulfillment applications, operators can move towards a highly optimized value chain across their entire enterprise to greatly increase user productivity. </p>
<p>Planned Support for SAP NetWeaver<br />
Cramer plans to migrate its Cramer6 OSS Suite to SAP NetWeaver. By supporting the SAP NetWeaver platform, Cramer will accelerate deployment of the joint solution, reduce integration costs and enhance process automation and efficiency. </p>
