BSG Clearing Solutions North America, LLC, a wholly owned subsidiary of Billing Services Group Limited (AIM: BILL), a leading clearing and settlement, payment and financial risk management solutions group, has announced the acquisition of VoiceLog, LLC’s third party verification (TPV) business. VoiceLog is the world’s leading provider of third party verification services. The all-cash deal values VoiceLog at US$15.63M and will be financed from the existing resources and facilities of the Group. The transaction closed on Friday 30th of June.

Highlights of the transaction include:
* Immediate earnings contribution;
* fully complementary to existing BSG operations and BSG customers;
* broadens BSG’s customer base to include utility groups and financial services companies;
* further diversifies the Company’s revenue streams through the wide array of call-centre services;
* consistent with BSG’s stated growth strategy.

Commenting on the acquisition, Roland J. Bopp, CEO of BSG, said: “VoiceLog’s third party verification business has a great reputation in the industry and offers us considerable benefits of scale and market penetration. Their complementary services reinforce our business proposition and for over 5 years, we’ve cultivated a relationship that makes this a very natural conclusion. I am delighted to welcome the VoiceLog team to BSG.”

About VoiceLog, LLC
Founded in 1996, VoiceLog, LLC has grown from an original idea into the world’s leading provider of third party verification services, with over 300 clients in Europe, the U.S. and Canada. Following the acquisition, 30 employees including VoiceLog founder Larry Leikin will remain with the business. Mr. Leikin will continue in his role as General Manager of the TPV business for BSG.

During the year ended 31 December 2005 the TPV business recorded unaudited revenues of $7.6 million and net income before taxation of $2.4 million after charging $0.5 million of depreciation and amortisation. The business had unaudited assets of $1.8 million at 31 December 2005. This information has been extracted from unaudited segment information contained in the audited accounts of VoiceLog, LLC at and for the 12 months ended 31 December 2005.

The company has unrivalled expertise in principal areas of third party verification, E911 notification, and electronic verification. Its software and services are capable of transacting in 24 different spoken languages.

* Third Party Verification (“TPV”): VoiceLog, LLC is contracted by telecom providers, utility groups and financial services companies to gain independent, authoritative confirmation that companies or individuals have agreed to change to new service providers. In the U.S., VoiceLog has an approximate 60% market share in TPV by number of clients. TPV is required or authorised by the U.S. Federal Communications Commission (FCC) in most states for telecom service changes, and by many states for changes in electric and natural gas service. In addition, the U.S. Federal Trade Commission requires a process similar to TPV for many orders and many clients use TPV to ensure reliable documentation of those orders. VoiceLog offers both automated and live third party verification utilising the latest technologies such as speech recognition and distributed live agents.

* In-Language Support: VoiceLog’s Any Language on Earth™ provides translation and verification services in any language a client requires. In addition to the current list of 24 different languages including Arabic, Hebrew, Hmong and Tagalog, VoiceLog will locate and train new agents to accommodate any special language requests.

* Electronic Letters of Authorisation (eLOA): VoiceLog’s NetTPV™ verifies telecom, Internet or other service orders with the security and credibility of third party verification and the legal standing of a fully qualified electronic signature.

* Reg E Xpress: Reg E Xpressâ„¢ is a phone-based electronic signature process specifically designed for one-off and recurring automated demand draft and debit authorisation. The VoiceLog system records necessary information which customers can retrieve via a toll-free number. A written copy is then sent to the customer for their records.

* E911 Notification: VoiceLog’s E911Alertâ„¢ notifies VoIP customers of E911 service, while gaining their affirmative acknowledgement of the notice. The U.S. FCC requires VoIP carriers who connect with the public telephone network to notify their customers of any limitations to their E911 service, including where and under what conditions it may not be available. Importantly, VoIP carriers must also obtain “affirmative acknowledgement” from every customer that they have received and understood that information.

BSG Clearing Solutions GmbH (BSG), the communications service industry’s clearing and settlement provider, today announced its systems are well prepared to deal with the heavy increase in capacity for roaming clearing that will result from the growth in mobile call volume during the weeks of the 2006 FIFA World Cup.

“This will be the biggest sporting event in the world and mobile communications will have an unprecedented role in spectator enjoyment this year,” said Roland J. Bopp, CEO of BSG. “As the exclusive roaming partner for virtually all wireless operators in Germany, BSG will be on hand to ensure there are no ‘own goals’ behind the scenes.”

An estimated 5 million fans from all continents around the globe, supporting the 32 nationalities taking part, are expected to visit Germany during the four-week World Cup competition. Mobile phones will be used to relay messages, download content, send pictures and texts to friends and family, as well as to record goals and highlights. Companies are already promoting World Cup related content, such as player photos, historic video clips, ring tones and games, and operators are expecting intense traffic volumes in largely unpredictable spikes.

All German wireless operators, including T-Mobile and O2, are BSG clients and will be relying on the company to process and clear all roaming transactions.

“Our system ordinarily handles large volumes of traffic and is designed to scale accordingly so that it can easily handle the additional anticipated traffic,” stated Abie Reifer, Chief Technology Officer for BSG. “Nonetheless, we’ve taken the cautionary validation steps to ensure our system will continue to operate smoothly throughout this period of expected transaction spike so our customers are provided with the same high quality level of service to which they’re accustomed.”

“We’re proud to be part of this important, global event and are confident in BSG’s ability to fully support us. Knowing they’ll be handling the increase in mobile call volume allows us to focus on giving our customers the best experience possible,” Dirk Schmelzer, Vice President, Carrier & International Services of O2 Germany, a BSG customer since 2000, said.

About BSG Clearing Solutions

Billing Services Group Limited (AIM: BILL) today announced that Roland Josef Bopp will join the company, effective April 15, 2006, as Chief Executive Officer (CEO) and as a director on the board of directors. The company’s current CEO, Patrick J. Haynes III, will remain with the company, becoming Chairman of the board, with particular responsibility for group strategy. Patrick Heneghan, current Chairman, will continue on the board as vice-Chairman and senior independent non-executive director. The Bopp appointment is a strategic response to BSG’s dynamic growth and increased global expansion over the past year.

Mr. Bopp, a German national, brings more than 20 years of executive leadership in telecom service organizations in both North America and Europe. His most recent position was Chairman, President & CEO of the Americas for Deutsche Telekom Inc., a subsidiary of Deutsche Telekom of Germany, that was based in New York. Over a period of three years he led the successful expansion of that business via both organic growth and through acquisitions. Prior to that, he was managing director of Mannesmann, the U.S.-based, $20 billion telecom and engineering company acquired by Vodafone in 2000. While at Mannesmann, Bopp was also responsible for establishing Mannesmann’s successful mobile business. He has also managed a number of telecom sector private equity funds and has advised large Eastern Europe wireless operators, among others.

“Roland brings tremendous business acumen and global contacts to this position,” said Patrick J. Hayes III, chairman of the board for BSG. “His understanding of the industry and customer requirements and his experience with expanding global companies will be invaluable as we continue to build BSG into a global communications clearinghouse.”

Mr. Bopp was recruited to Billing Services Group Limited to oversee the company’s further international development, particularly in Europe, the Middle East and Asia. Mr. Bopp will relocate to London, where the company has established a central executive function, and a full U.S.-based executive team, all of whom will continue with the business, will support him. As part of his service package, Mr. Bopp will be granted options on over 8,000,000 un-issued common shares in the capital of the company, vesting over three years and on terms comparable to those under the company’s existing share option plans. The company’s remuneration committee based on the fair market value of the company’s common shares as of today will determine the exercise price of these options.

“I’m very pleased to be joining such an impressive organization at a strategic moment in its history,” said Roland Bopp. “After just one year on AIM, BSG will move up on the London Stock Exchange (LSE) next month. The company’s strong market position and recent acquisitions have established the right structure for the next phase of growth.”
